1. Our Services

YAXI TV provides products and services related to digital signage, Digital Out-of-Home advertising, screen management, content delivery, reporting, and related business tools.

Certain features may be available only to approved venue partners, operators, advertisers, agencies, or account holders. Some services may also be governed by separate agreements, insertion orders, revenue share agreements, partner terms, or other written contracts. If there is a conflict between these Terms and a separately signed agreement, the signed agreement will control for that specific relationship.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding agreement to use our services.

If you create an account, you agree to:

• provide accurate, current, and complete information;
• keep your login credentials confidential;
• promptly update account information if it changes;
• notify us if you believe your account has been accessed without authorization;
• accept responsibility for activity that occurs under your account.

We may suspend, restrict, or terminate accounts that violate these Terms, applicable law, or our service rules.

3. Acceptable Use

You agree not to:

• use the website or services for unlawful, fraudulent, deceptive, or harmful purposes;
• interfere with or disrupt the operation or security of the website or services;
• attempt to gain unauthorized access to systems, accounts, or data;
• upload malware, malicious code, or harmful content;
• infringe the intellectual property or other rights of others;
• misrepresent your identity, authority, business, or relationship to YAXI TV;
• use the services in a way that violates applicable advertising, consumer protection, privacy, or other laws.

4. Content and Materials

You may submit or upload content, creatives, logos, images, text, campaign materials, or other content through the services. You remain responsible for the content you submit.

You represent and warrant that:

• you own the content or have all necessary rights to use and submit it;
• your content does not violate any law or third-party right;
• your content is not false, deceptive, defamatory, infringing, obscene, abusive, or otherwise unlawful;
• your content complies with our content standards and any applicable campaign or platform requirements.

We may review, reject, remove, suspend, or disable content at our discretion if we believe it violates these Terms, applicable law, third-party platform requirements, or our standards.

You grant YAXI TV a non-exclusive, worldwide, royalty-free license to host, process, reproduce, display, distribute, and use submitted content as needed to provide the services.

5. Venue Partners, Operators, and Advertisers

If you use YAXI TV as a venue partner, operator, advertiser, or agency, you agree to provide accurate business and operational information and to cooperate as reasonably necessary for service delivery, reporting, billing, support, compliance, and fraud prevention.

Any specific commercial terms, payment terms, campaign terms, revenue share percentages, hardware obligations, or service levels may be governed by separate written agreements.

6. Hardware and Screen Operations

If YAXI TV provides or manages hardware, player software, screens, or related equipment, additional operational or partner rules may apply. Unless otherwise agreed in writing, YAXI TV retains all rights in its hardware, software, and platform technology.

You may not tamper with, reverse engineer, damage, misuse, relocate, disable, or interfere with YAXI TV hardware or software except as expressly authorized.

7. Third-Party Services

Our website and services may integrate with or rely on third-party services, including analytics, hosting, payment, advertising, or communications tools. Your use of third-party services may also be subject to those third parties’ terms and privacy policies.

We are not responsible for third-party services, products, or policies.

8. Payments, Billing, and Taxes

If you purchase services, run campaigns, receive payouts, or otherwise engage in paid activity through YAXI TV, you agree to provide accurate billing and tax information and to pay all applicable amounts when due.

Unless otherwise stated in a separate agreement:

• fees are non-refundable except where required by law or expressly agreed;
• you are responsible for applicable taxes associated with your use of the services or payments you receive;
• we may suspend services for overdue balances or suspected fraud.

9. Intellectual Property

The YAXI TV website, platform, software, branding, design, text, graphics, and other original materials are owned by YAXI LLC or its licensors and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, sublicense, scrape, reverse engineer, or create derivative works from our services or materials.

10. Feedback

If you provide suggestions, ideas, feature requests, or other feedback, you grant us the right to use that feedback without restriction or compensation to you.

11. Service Changes and Availability

We may update, improve, modify, suspend, or discontinue any part of the website or services at any time. We do not guarantee uninterrupted availability.

We may also impose limits or restrictions where reasonably necessary for maintenance, security, operational integrity, legal compliance, or abuse prevention.

12. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAXI TV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the website or services will be uninterrupted, error-free, secure, or suitable for every use case.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAXI TV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF YAXI TV FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO YAXI TV FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR
• $1,000.

14. Indemnification

You agree to defend, indemnify, and hold harmless YAXI TV and its affiliates, officers, employees, agents, and contractors from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the website or services;
• your content;
• your violation of these Terms;
• your violation of applicable law or third-party rights.

15. Termination

We may suspend or terminate your access to the website or services at any time if:

• you violate these Terms;
• we reasonably believe your conduct creates risk, harm, or legal exposure;
• required by law;
• necessary to protect our systems, users, partners, or business.

You may stop using the services at any time. Any provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

16. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of laws principles.

17. Disputes

Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.

If a dispute cannot be resolved informally, any dispute arising out of or relating to these Terms or the services will be resolved in the state or federal courts located in Wayne County, Michigan, unless a separate written agreement provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the website or services after the updated Terms become effective means you accept the revised Terms.
